2. Scope of These Terms

The Site is intended primarily to provide information about Pourtek products, software, services, installations, financing resources, integrations, and business solutions. These Terms govern use of the Site only.

Purchases, subscriptions, implementation services, support services, financing arrangements, software access, and other commercial relationships may be subject to separate quotes, proposals, order forms, licenses, service agreements, financing documents, privacy notices, or other terms. If a separate written agreement conflicts with these Terms, the separate agreement controls with respect to its subject matter.

3. Permitted Use

You may use the Site for lawful business and informational purposes in accordance with these Terms. You agree not to:

• Use the Site in violation of any applicable law, regulation, contract, or third-party right.

Unless otherwise stated, the Site and all text, graphics, logos, photographs, videos, designs, interfaces, software, code, product names, service names, trademarks, trade dress, and other content on the Site are owned by, controlled by, or licensed to Pourtek and are protected by copyright, trademark, patent, trade-secret, and other intellectual-property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your own lawful informational and business-evaluation purposes. No other rights are granted. All rights not expressly granted are reserved by Pourtek and its licensors.

5. Product and Service Information

We strive to provide accurate and current information, but product specifications, software features, compatibility, availability, images, pricing, estimates, timelines, implementation requirements, and other details may change without notice.

Site content is general information and does not constitute a binding quote, offer, warranty, commitment, or specification. Final scope, pricing, responsibilities, delivery terms, installation requirements, and performance obligations are determined only by the applicable written agreement between Pourtek and the customer.

6. Profit Simulator Disclaimer

The Profit Simulator is provided solely as an informational planning tool. Results are estimates generated from assumptions and information entered by the user, together with generalized formulas and default values.

Actual project costs, beverage costs, selling prices, sales volume, labor savings, waste reduction, financing costs, gross profit, cash flow, tax treatment, and payback periods will vary based on numerous factors outside Pourtek’s control. Pourtek does not guarantee that any estimated savings, revenue, margin, return on investment, or payback period will be achieved.

You are responsible for independently verifying all assumptions and consulting qualified financial, accounting, tax, legal, operational, architectural, engineering, and other professional advisors before making business decisions.

7. Financing Disclaimer

Financing information on the Site is provided for general informational purposes only. Pourtek is not a bank, lender, broker, credit counselor, or financial advisor and does not make credit decisions.

Financing applications may be provided, hosted, or processed by independent third parties, including APPROVE and its financing partners. Approval, rates, fees, loan amounts, documentation requirements, collateral requirements, payment terms, and other conditions are determined solely by the applicable financing provider.

Pourtek does not guarantee approval or any particular financing terms. Any financing agreement is solely between the applicant and the financing provider and is governed by that provider’s terms, disclosures, and privacy practices.

8. Third-Party Websites and Services

The Site may contain links to, integrations with, or embedded content from third-party websites and services, including financing providers, mapping services, analytics providers, software partners, social platforms, and other vendors.

Third parties operate independently from Pourtek. We do not control and are not responsible for their availability, content, products, services, security, privacy practices, or terms. Your use of a third-party service is governed by that provider’s own agreements and policies.

9. No Professional Advice

Site content is provided for general informational purposes and does not constitute legal, tax, accounting, financial, lending, insurance, architectural, engineering, construction, refrigeration, food-safety, regulatory, or other professional advice.

You should consult qualified professionals concerning your specific project, jurisdiction, business, financing, installation, and compliance requirements.

10. Submissions and Feedback

If you send us comments, suggestions, ideas, feature requests, proposals, or other feedback concerning the Site or our products and services, you grant Pourtek a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, modify, distribute, commercialize, and otherwise exploit that feedback for any lawful purpose without compensation or attribution to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, CALCULATORS, FORMS, LINKS, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

POURTEK DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, RELIABILITY, AND AVAILABILITY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POURTEK AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POURTEK’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not permit certain warranty disclaimers or limitations of liability. In those jurisdictions, the foregoing provisions apply only to the fullest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Pourtek and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your misuse of the Site, your violation of these Terms, your violation of applicable law, or your infringement of another person’s rights.

These Terms and any dispute arising out of or relating to the Site will be governed by the laws of the State of North Carolina, without regard to conflict-of-law rules.

Any legal action arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in North Carolina, and you consent to the personal jurisdiction and venue of those courts.

These Terms, together with our Privacy Policy and any other notices or policies expressly incorporated by reference, constitute the entire agreement between you and Pourtek regarding use of the Site.

If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
